2. Agreement Formation
A service agreement is formed when:
- You accept a written proposal from Logomentary
- You sign a Statement of Work (SOW) or similar document
- You make a deposit or initial payment for services
- Work commences with your explicit approval
All agreements must be in writing and signed by both parties to be legally binding.
3. Client Responsibilities
Project Cooperation
Clients agree to:
- Provide timely feedback and approvals
- Supply necessary content, materials, and information
- Designate a primary point of contact for the project
- Respond to requests for information within agreed timeframes
- Review and test deliverables promptly
Content and Materials
Clients are responsible for:
- Ensuring all provided content is accurate and current
- Obtaining necessary licenses for images, fonts, and other materials
- Complying with copyright, trademark, and intellectual property laws
- Providing content in agreed formats and specifications
4. Payment Terms
Pricing and Invoicing
- Fixed Price: Total project cost specified in the SOW
- Hourly Rate: Time-based billing for ongoing work
- Payment Schedule: Typically 50% upfront, 50% upon completion
- Invoice Terms: Net 15 days unless otherwise specified
Late Payment
Late payments may incur:
- A service fee of 1.5% per month on overdue amounts
- Suspension of services until payment is received
- Additional costs for collections or legal proceedings
5. Project Timeline and Delays
Timeline Estimates
Project timelines are estimates based on:
- Project scope as defined in the SOW
- Timely client feedback and approvals
- Availability of required resources
- No significant scope changes during development
Delays and Extensions
Delays may occur due to:
- Client-requested changes or additions
- Delayed client feedback or materials
- Technical challenges or third-party dependencies
- Force majeure events beyond our control
6. Intellectual Property
Client-Owned Materials
Clients retain ownership of:
- Original content provided to Logomentary
- Trademarks, logos, and brand materials
- Proprietary business information
- Pre-existing intellectual property
Work Product
Upon final payment, clients receive:
- Ownership of custom code developed specifically for their project
- Rights to use and modify the delivered website/application
- Source files and documentation as specified in the SOW
Logomentary Retains
- Rights to proprietary tools, frameworks, and methodologies
- Portfolio rights to showcase completed work
- Rights to code snippets that have general applicability
7. Revisions and Change Requests
Included Revisions
Each project includes a specified number of revision rounds:
- Minor text changes and content updates
- Color and styling adjustments within approved designs
- Bug fixes and functional corrections
Additional Work
Changes beyond the original scope require:
- Written approval of additional costs
- Updated timeline estimates
- Separate billing for extra hours
8. Testing and Launch
Quality Assurance
Logomentary conducts testing for:
- Cross-browser compatibility
- Responsive design functionality
- Basic performance optimization
- Functional requirements as specified
Client Acceptance
Clients have 7 business days to:
- Review and test delivered work
- Report any issues or concerns
- Request clarifications or corrections
Silence after this period constitutes acceptance of the work.
9. Maintenance and Support
Warranty Period
We provide a 30-day warranty on delivered work covering:
- Bug fixes for reported issues
- Corrections to functionality that doesn't match specifications
- Resolution of performance issues
Ongoing Support
Post-launch support services may include:
- Regular security updates
- Content management training
- Performance monitoring
- Technical support on a retainer basis
10. Limitation of Liability
Logomentary's liability is limited to:
- The total amount paid for the specific project
- Direct damages only (no indirect or consequential damages)
- Claims made within 12 months of project completion
We are not liable for:
- Loss of business or profits
- Damages due to client-provided content or materials
- Third-party service failures or downtime
- Changes made by client or third parties after delivery
11. Termination
Termination by Client
Clients may terminate services with written notice. Upon termination:
- Client pays for all work completed to date
- Client receives deliverables for paid work
- No refunds for deposits or completed work
Termination by Logomentary
We may terminate services for:
- Non-payment of invoices
- Breach of contract terms
- Abusive or unprofessional behavior
- Illegal or unethical project requests
12. General Provisions
Governing Law
These Terms are governed by the laws of the jurisdiction where Logomentary is registered. Any disputes will be resolved through binding arbitration or in local courts.
Force Majeure
Neither party is liable for delays caused by events beyond reasonable control, including natural disasters, pandemics, government actions, or infrastructure failures.
Entire Agreement
These Terms, together with any signed SOW, constitute the complete agreement between parties. Modifications must be in writing and signed by both parties.
